Supervisory Board

The Supervisory Board has collective responsibility for Executive Board policy and general developments in the company. It has two committees: an audit committee and a remuneration committee, which perform their duties in accordance with the regulations adopted by the Supervisory Board pursuant to the Dutch Corporate Governance Code.

All the members of the Supervisory Board are also members of the audit committee, which is chaired by Arnold Gratama van Andel. The audit committee advises the Supervisory Board on the financial statements, and on supervising internal risk management systems and the provision of financial information, as well as on funding, ICT applications and data systems.

The remuneration committee consists of all the members of the Supervisory Board and is chaired by Gert-Jan Kramer. The remuneration committee prepares a report on the remuneration policy for the Executive Board and proposes the remuneration of the Executive Board members, based on the policy approved by the shareholder. For efficiency reasons, the remuneration committee also acts as the recruitment and appointment committee.
